Terms of Service

These Terms of Service ("Terms") govern your access to and use of Screenflow, the digital signage platform available at usescreenflow.com and app.usescreenflow.com (the "Service"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization.

1. The Service

Screenflow lets organizations manage digital signage screens: designing layouts, building playlists, uploading media, pairing player devices and scheduling content. The Service is provided as a multi-tenant cloud application; each organization (a "workspace") manages its own devices, users and content.

2. Accounts and workspaces

You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity that happens under your account. Workspace owners control who can access their workspace and with which role; they are responsible for the actions of the users they invite.

3. Subscriptions, trials and billing

Paid plans are billed in advance on a recurring basis according to the plan you select. Plan limits (such as the number of screens, storage or features) are enforced by the Service. We may offer free trials; when a trial ends, continued use requires an active subscription. Fees are non-refundable except where required by law. We may change prices with reasonable prior notice effective from your next billing period.

4. Acceptable use

You agree not to misuse the Service. In particular, you will not:

• display or distribute content that is unlawful, infringing, defamatory or harmful;
• attempt to gain unauthorized access to the Service, other workspaces or related systems;
• interfere with the integrity or performance of the Service, or circumvent plan limits;
• resell or sublicense the Service without our prior written consent;
• use the Service to send spam or operate content that violates advertising regulations applicable to your screens.

5. Your content

You retain all rights to the media, layouts and other content you upload ("Customer Content"). You grant us a limited license to host, process, transform (for example generating thumbnails and previews) and deliver Customer Content solely to operate the Service. You are responsible for ensuring you hold the necessary rights and licenses for everything you display, including fonts, images, video and music.

6. Devices and players

Player devices connect to the Service using pairing codes and device tokens. You are responsible for the physical security and lawful placement of your screens. We may disconnect devices that jeopardize the security or stability of the platform.

7. Intellectual property

The Service, including its software, design and branding, is owned by Screenflow and its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights in the Service are transferred to you.

8. Third-party services

The Service integrates with third-party services such as OAuth sign-in providers, payment processors and widget data sources (for example weather or RSS feeds). Your use of those services is subject to their own terms, and we are not responsible for their availability or accuracy.

9. Availability and support

We work to keep the Service available at all times but do not guarantee uninterrupted operation. Planned maintenance is announced where practical. Support is provided through the channels published on our website.

10. Disclaimer and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, to the extent permitted by law. To the maximum extent permitted by law, our total liability arising out of or related to the Service is limited to the amounts you paid us in the twelve months preceding the event giving rise to the claim, and we are not liable for indirect, incidental or consequential damages, including lost profits or lost data.

11. Termination

You may stop using the Service and cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate access if you materially breach these Terms and, where appropriate, will give you notice and an opportunity to remedy the breach first. After termination we may delete Customer Content following a reasonable retention window.

12. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you in advance, for example by email or an in-app notice. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
